Terms of Usage

1. Acceptance and Eligibility

1.1 By accessing or using the Services, you agree to be bound by these Terms, whether by explicit acceptance or by using the Services in any manner.

1.2 To use our Services, you must:

• Be at least 18 years old;
• Have the legal capacity to enter into binding agreements; and
• Reside in a jurisdiction where the Services are lawfully available.

1.3 The Services are not directed at, and may not be used by, individuals or businesses located in or operating from the United Kingdom. By accessing or using the Services, you represent and warrant that you are not a resident of, established in, or otherwise conducting business in the United Kingdom.

2. Services Provided

2.1 GradientXchange provides technical infrastructure enabling End Users to interact with third-party providers offering fiat-to-cryptocurrency conversion services to Africa market ("Fiat Gateways").

2.2 GradientXchange:

• Does not sell, purchase, or exchange cryptocurrency;
• Does not provide fiat-to-crypto conversion itself; and
• Never takes custody of End User funds at any point.

2.3 Transactions take place solely between End Users and Fiat Gateways. GradientXchange is not a party to such agreements and assumes no responsibility for issues such as Know-Your-Customer (KYC) or Anti-Money Laundering (AML) checks, transaction monitoring, refunds, cancellations, or transaction limits.

2.4 GradientXchange processes a limited amount of user data in line with its Privacy Policy. Any personal data entered for transactions is handled exclusively by Fiat Gateways and governed by their own privacy policies and terms.

3. Intellectual Property

3.1 All intellectual property rights in our Services, including but not limited to the website, API, widget, software, trademarks, copyrights, patents, and proprietary concepts, remain the property of GradientXchange.

3.2 End Users are granted only a limited, personal, non-transferable license to access and use the Services for lawful purposes. No rights of ownership or broader license are transferred.

4. Warranties by GradientXchange

4.1 As we are not a party to End User–Fiat Gateway transactions, GradientXchange makes no warranties regarding such transactions or the services provided by Fiat Gateways.

4.2 The Services are provided "as is", without guarantees of uptime, reliability, or error-free operation. Specifically, we do not warrant:

• (a) uninterrupted access, reliability, or availability of the Services;
• (b) accuracy or completeness of information displayed regarding Fiat Gateways, conversion rates, or applicable fees, as these may change due to factors outside our control;
• (c) suitability, security, or reliability of third-party Fiat Gateways; or
• (d) quality or reliability of integrations of our API or widget into third-party applications.

5. User Responsibilities

5.1 As an End User, you agree not to:

• Copy, adapt, modify, reverse engineer, or decompile any part of the Services;
• Harvest personal data from other users or interfere with privacy rights;
• Disrupt or attempt to disrupt the functioning of the Services or related infrastructure;
• Provide false, misleading, or inaccurate information;
• Act on behalf of a third party without authorization; or
• Violate applicable laws or regulations while using the Services.

6. Limitation of Liability

6.1 GradientXchange is not liable for any damages, costs, or losses arising from your dealings with Fiat Gateways, as we are not a party to such transactions.

6.2 We are not liable for damages caused by:

• Inaccurate information displayed by our Services;
• Bugs, hacks, system failures, viruses, or cyberattacks;
• Incorrect data input by End Users;
• Malfunctions of servers, blockchains, or third-party integrations.

6.3 We are not responsible for indirect damages such as lost profits, missed opportunities, or fluctuations in the value of digital assets.

6.4 You assume full responsibility for risks inherent in using cryptocurrencies, including but not limited to technical errors, regulatory changes, and value volatility.

6.5 In any event, GradientXchange's total liability to an End User shall not exceed the total revenue GradientXchange has received from the relevant Fiat Gateway for transactions linked to that End User.

7. Termination

7.1 We may, at our discretion, suspend or terminate your access to the Services at any time.

7.2 You may terminate your use of the Services at any time.

7.3 Provisions regarding limitations of liability and general terms shall survive termination.

7.4 We may permanently or temporarily discontinue the Services without notice. GradientXchange bears no liability for such discontinuation or related data loss.

8. General Provisions

8.1 If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain valid.

8.2 Invalid provisions shall be adjusted to reflect the original intent as closely as possible, while preserving the enforceability of the Terms.

8.3 These Terms are governed by and construed under law of England and Wales.

8.4 The courts of the Netherlands have exclusive jurisdiction over disputes arising from these Terms.

9. About GradientXchange

Gradient Consulting Limited (trading as GradientXchange) is a private company limited by shares, incorporated in England and Wales, registered at 128–148 High Street, London, with Companies House under registration number 16068223. Our UK VAT number is 481 5090 24.

What we do:

• Provide a Platform-as-a-Service (PaaS) solution that enables third-party platforms to integrate multiple Fiat Gateways via our API/SDK.
• Offer technical infrastructure only, without directly engaging in transactions with End Users.

What we do not do:

• We do not buy, sell, or resell cryptocurrency;
• We do not provide exchange, lending, or custodial services;
• We do not set or control exchange rates;
• We do not hold, manage, or influence End Users' funds or digital assets;
• We do not act as a merchant of record or provide credit.

Fees: GradientXchange does not charge End Users. We receive a service fee from Fiat Gateways for transactions conducted between End Users and those Fiat Gateways.

Licensing: Due to the limited scope of our role, GradientXchange is not required to hold a financial or regulatory license.
